Terms of Service

1. Agreement and Eligibility
These Terms govern Ultra Blue Route, a software-as-a-service platform operated by Ultra Blue Route Inc., a California corporation. Ultra Blue Route assists field representatives with productivity, account planning, routing, scheduling, call preparation, and related field-work activities. By creating an account, purchasing or using a subscription, or otherwise accessing the service, you agree to these Terms, the Privacy Policy, and the Refund and Cancellation Policy. You must be at least 18 years old and legally capable of entering a binding agreement.
2. Service
Ultra Blue Route is a productivity and planning tool. It may provide route plans, account sequencing, schedules, reminders, account information, notes, navigation links, recommendations, AI-assisted outputs, and related assistance. It does not replace professional judgment and is not an emergency, dispatch, medical, safety, or time-critical decision system. Availability and performance are provided on a best-efforts basis.
3. Driving and Route Safety
Do not interact with Ultra Blue Route while operating a vehicle when doing so would be unsafe or unlawful. You are solely responsible for safe driving, traffic-law compliance, road conditions, route decisions, destinations, appointments, customer interactions, and employer policies. Ultra Blue Route does not guarantee the accuracy, legality, safety, availability, travel time, or suitability of routes, maps, addresses, or third-party navigation results.
4. User Data
You may enter or upload account, customer, contact, address, appointment, call-history, note, and related business information (User Data). You retain your rights in User Data and grant Ultra Blue Route the limited rights reasonably necessary to host, process, transmit, display, secure, back up, and use it to provide, maintain, protect, and improve the service in accordance with these Terms and the Privacy Policy. You are responsible for the legality, accuracy, quality, appropriateness, permissions, confidentiality obligations, and employer requirements applicable to User Data.
5. Prohibited PHI
Ultra Blue Route is not intended to store protected health information (PHI) or patient-identifying medical information. Do not enter patient names, identifiers, medical-record information, or other information that makes a patient identifiable in notes, account records, AI inputs, or other fields. PHI-detection or warning features are assistive safeguards only and may not identify every prohibited item. You remain responsible for reviewing information before submission.
6. Acceptable Use and Security
You may not use the service unlawfully; infringe intellectual-property, privacy, confidentiality, or contractual rights; introduce malware; attempt unauthorized access; defeat authentication, rate limits, account limits, security controls, or usage restrictions; interfere with service availability; scrape the service except as authorized; reverse engineer non-public source code except where law expressly permits; impersonate another person; or abuse third-party APIs or resources. You are responsible for your credentials and account activity and must promptly report suspected unauthorized access.
7. Subscriptions and Add-Ons
Ultra Blue Route offers three subscription tiers and may offer optional products, features, credits, or other add-ons. Current prices, included features, and limits are presented at purchase or within the service. Paid subscriptions automatically renew for the applicable billing period unless canceled before the next charge. You authorize the payment processor to charge the payment method associated with your account for recurring subscription charges, taxes, and authorized add-ons.
8. Cancellation, Refunds, and Failed Payments
The Ultra Blue Route Refund and Cancellation Policy is incorporated into these Terms. Users may cancel through Settings > Billing > Cancel Subscription and confirm cancellation. The service should display the paid-access end date and stop future renewal billing. The first paid subscription has a one-time 30-day money-back guarantee. Renewals are generally non-refundable and no partial or prorated refunds are provided except where required by law or stated in the Refund and Cancellation Policy. Failed renewals receive a 3-day grace period before paid access may be blocked.
9. Changes
Ultra Blue Route may modify features, integrations, limits, plans, or pricing. Notice will be provided when required by applicable law or when a change materially affects an existing paid subscription. Critical changes relating to security, legal compliance, abuse prevention, vendor requirements, or service integrity may take effect immediately when reasonably necessary.
10. Third-Party Services
Ultra Blue Route may depend on third-party mapping, navigation, hosting, database, payment, AI, analytics, communications, or other services. Those services are governed by their own terms and privacy practices. Ultra Blue Route cannot guarantee their continuous availability, accuracy, security, performance, or policies, and their outages, API limits, changes, or errors may affect the service.
11. Intellectual Property and Feedback
Ultra Blue Route Inc. owns or licenses the service, software, interfaces, designs, branding, workflows, documentation, and other platform materials, excluding User Data and third-party materials. You receive a limited, revocable, non-exclusive, non-transferable right to use the service during authorized access. Voluntary feedback may be used by Ultra Blue Route without restriction or compensation, without transferring ownership of User Data.
12. Suspension and Termination
Ultra Blue Route may suspend, restrict, or terminate access for Terms violations, nonpayment, misuse, prohibited PHI, unlawful activity, attempted security compromise, abuse of third-party or API resources, or conduct threatening users, data, service integrity, or infrastructure. Suspension may occur immediately when reasonably necessary to protect the service, users, data, security, or legal interests.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULTRA BLUE ROUTE IS PROVIDED AS IS AND AS AVAILABLE. ULTRA BLUE ROUTE INC. DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT ROUTES, SCHEDULES, ACCOUNT DATA, AI OUTPUTS, TRAVEL TIMES, OR OTHER RESULTS WILL BE ACCURATE OR COMPLETE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ULTRA BLUE ROUTE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST SALES, LOST BUSINESS OPPORTUNITIES, MISSED APPOINTMENTS, LOST OR INCORRECT USER-ENTERED DATA, ROUTING OR NAVIGATION ERRORS, SERVICE INTERRUPTIONS, OR THIRD-PARTY OUTAGES. ULTRA BLUE ROUTE INC.'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE USER TO ULTRA BLUE ROUTE DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing excludes or limits liability that cannot lawfully be excluded or limited.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Ultra Blue Route Inc. from third-party claims, damages, losses, liabilities, and reasonable costs arising from your unlawful use, violation of these Terms, User Data, infringement of another person's rights, or violation of applicable employer, confidentiality, privacy, or data-protection obligations, except where indemnification cannot lawfully be required.
16. Governing Law and Arbitration
California law governs these Terms, except where applicable law requires otherwise. Before arbitration, the parties will attempt in good faith to resolve a covered dispute informally for 30 days after written notice. Subject to rights that cannot lawfully be waived, unresolved covered disputes will be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in California rather than a court trial. Small-claims matters and other claims that applicable law permits outside arbitration remain subject to those rights. Applicable law and AAA rules govern arbitration procedures and fees. Nothing in these Terms waives rights that cannot lawfully be waived.
17. Privacy and Electronic Communications
Use of Ultra Blue Route is governed by the Ultra Blue Route Privacy Policy. You consent to service-related electronic communications concerning account, billing, security, legal, and operational matters. Marketing communications, where used, remain subject to applicable law and available opt-out rights.
18. General Terms
If any provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law. Failure to enforce a provision is not a waiver. Ultra Blue Route may update these Terms prospectively and provide notice or require renewed acceptance when required. These Terms, incorporated policies, and purchase disclosures constitute the agreement concerning use of the service unless a separate signed agreement applies.
